Article 1 – Definitions
In these terms and conditions, the following definitions apply:

  • Cooling-off period: the period during which the buyer can exercise their right of withdrawal;
  • Consumer: the natural person who does not act in the exercise of a profession or business and enters into a distance contract with the entrepreneur;
  • Day: calendar day;
  • Continuous transaction: a distance contract concerning a series of products and/or services, with the obligation of delivery and/or purchase spread over time;
  • Durable data carrier: any means that allows the buyer or entrepreneur to store information addressed to them personally in a way that allows future consultation and unaltered reproduction of the stored information;
  • Right of withdrawal: the buyer’s ability to withdraw from the distance contract within the cooling-off period;
  • Model withdrawal form: the form provided by the entrepreneur that the buyer can use to exercise their right of withdrawal;
  • Entrepreneur: Nordic LEDs, the natural or legal person who offers products and/or services to buyers at a distance;
  • Distance contract: an agreement whereby, within the framework of a system organized by the entrepreneur for distance selling of products and/or services, up to and including the conclusion of the contract, only one or more techniques for distance communication are used;
  • Means of distance communication: a means that can be used to conclude an agreement without the consumer and the entrepreneur being in the same space at the same time;
  • Terms and conditions: these general terms and conditions of the entrepreneur.

Article 3 – Applicability
These terms and conditions apply to every offer made by Nordic LEDs and to every distance contract and order made between Nordic LEDs and the buyer.

  • Before the distance contract is concluded, the buyer will be provided with the text of these terms and conditions. If this is not reasonably possible, Nordic LEDs will inform the buyer, before concluding the distance contract, where the terms and conditions can be accessed electronically and that they will be sent free of charge upon request.
  • If the distance contract is concluded electronically, the text of these terms and conditions may be provided electronically in a manner that allows the buyer to easily store them on a durable data carrier.
  • If, in addition to these terms and conditions, specific product or service conditions apply, the buyer may always invoke the provision that is most favorable to them in the event of conflicting conditions.
  • If one or more provisions of these terms and conditions are found to be invalid or void, the remaining provisions of these terms and conditions will remain in effect.
  • Any situations not covered by these terms and conditions will be assessed in the spirit of these terms and conditions.
  • Uncertainties about the interpretation or content of one or more provisions should be interpreted in line with the spirit of these terms and conditions.

Article 4 – The offer

  • If an offer is subject to a limited period of validity or specific conditions, this will be expressly stated in the offer.
  • The offer is non-binding. Nordic LEDs reserves the right to change and adjust the offer.
  • The offer contains a complete and accurate description of the offered products and/or services. If Nordic LEDs uses images, these should be a true representation of the offered products and/or services.
  • Apparent mistakes or errors in the offer do not bind Nordic LEDs.
  • All images and specifications in the offer are indicative and cannot be grounds for compensation or termination of the agreement.
  • Every offer includes such information that it is clear to the buyer what the rights and obligations are that are attached to the acceptance of the offer. This particularly concerns:
    • The price including taxes;
    • Any shipping costs;
    • The manner in which the agreement will be concluded and which actions are required for this;
    • Whether or not the right of withdrawal applies;
    • The method of payment, delivery, and execution of the agreement;
    • The period for accepting the offer or the period within which Nordic LEDs guarantees the price;
    • The rate for distance communication if costs for the use of the distance communication technique are calculated on a basis other than the regular base rate for the communication method used;
    • Whether the agreement will be archived after its conclusion, and if so, how it can be accessed by the buyer;
    • The way in which the buyer can check and, if necessary, correct the data provided by them before concluding the agreement;
    • The languages in which the agreement can be concluded, besides English;
    • The codes of conduct to which the entrepreneur is subject and how the buyer can consult these codes of conduct electronically;
    • The minimum duration of the distance contract in case of a continuous transaction.

Article 5 – The agreement

  • The agreement comes into effect at the moment the buyer accepts the offer and meets the conditions set forth therein.
  • If the buyer accepts the offer electronically, Nordic LEDs will immediately confirm receipt of the acceptance of the offer electronically.
  • If the agreement is concluded electronically, Nordic LEDs will take appropriate technical and organizational measures to secure the electronic transmission of data and ensure a safe web environment.
  • Nordic LEDs may gather information about the buyer’s ability to meet their payment obligations before entering into the agreement. If, based on this investigation, Nordic LEDs has valid reasons not to enter into the agreement, it is entitled to refuse an order or impose special conditions on its execution.

Article 6 – Right of withdrawal
For product delivery:

  • The buyer has the right to withdraw from the agreement within 14 days without giving any reason. The cooling-off period starts on the day the product is received by the buyer.
  • During the cooling-off period, the buyer must handle the product and packaging with care. The buyer may only unpack or use the product to the extent necessary to determine whether they want to keep it.
  • To exercise the right of withdrawal, the buyer must notify Nordic LEDs within 14 days of receipt of the product by using the model withdrawal form.

For the delivery of services:

  • The buyer has the right to withdraw from a service agreement within 14 days without giving any reason.

Article 7 – Costs in case of withdrawal

  • If the buyer exercises their right of withdrawal, they will bear the cost of returning the product.
  • Nordic LEDs will refund the amount paid by the buyer as soon as possible, but no later than 14 days after receiving the returned product or receiving proof of its return.

Article 8 – Exclusion of the right of withdrawal
The right of withdrawal is excluded for products that:

  • Are made to the buyer’s specifications or personalized;
  • Are perishable or have a limited shelf life;
  • Are audio, video recordings, or software where the seal has been broken by the buyer.
